Ownership

Foreign Ownership of Property

According to Thai law, foreigners may own 49 percent of the aggregate sellable unit space while the remaining 51 percent must be owned by either Thai nationals or majority owned (51 percent) Thai Companies.

Once the 49 percent foreign ownership quota has been achieved, overseas buyers wishing to make a purchase can do so via a Thai company structure.

Thai company Structure

A Thai company structure is the Limited Liability Company (LLC), which is referred to as a "Juristic Person" (legal entity). In terms of property ownership, 51 percent of all shares shall be held by a Thai national or juristic person in order for it to be recognized as a "Thai person" and, therefore, may own land or a condominium in Thailand.

Control of Thai Company by Foreigners

Thai Law permits the issuing of classified or two-tiered stocks. So an LLC may issue ordinary shares, where one share translates to one vote, and preferred shares, where at least 20 shares are required in order to obtain one vote. Thai law allows that the Thai majority shares be issued as preferred shares and the foreign minority shares as ordinary shares. This allows the foreign minority shareholder to control the company whilst also be appointed as the sole director.

Payment Procedure

Foreigners are required to remit at least USD 20,000.00 into Thailand per transfer to receive a FOREX Transfer Form. This form will be needed to transfer the unit under foreign ownership and also remit money back out of Thailand if so needed in the future.

Note: Conversion to Thai Baht has to be done in Thailand and not before transfer is made into the country. Furthermore, instruction on transfer must state for the purchase of property.

Additional Expenses

A) Transfer fee - Calculated as 2% of the sales price.
50% paid by Developer
50% paid by Purchaser upon transfer of title deed.

B) Sinking Fund - This payment varies between Baht 350 to Baht 600 per square metre depending on the project and is payable upon transfer of title deep.

C) Advanced Juristic Fees - One year advance of Baht 50 to Baht 65 per square metre per month depending on the project.

Note: The juristic fee or management/maintenance fee is used for general monthly maintenance of the building, common areas, security, pool maintenance, etc.
